These terms govern your use of BankDeclined.com and the enquiry form on it. By using the site you accept them. If you do not accept them, do not use the site.

Who we are

BankDeclined.com is operated by Certus Credit, a debt advisory firm representing operating businesses seeking commercial financing. This site is where a conversation starts. It is not itself a party to any advisory engagement: any engagement is with Certus Credit under a separate written engagement letter.

Certus Credit is not a lender. It does not lend, commit capital, or make credit decisions. Credit decisions rest with lenders. Nothing on this site is a commitment to arrange, place, or provide financing, and no outcome is guaranteed.

This site is not affiliated with, endorsed by, or connected to any bank, and it is not affiliated with any bank that has declined or exited a facility.

Business use only

We arrange business-purpose commercial financing only. We do not offer or arrange consumer credit, and this site is not for personal, family, or household borrowing. By submitting an enquiry you confirm the request is for business purposes, that you are at least 18, and that you are authorised to submit the information on behalf of the business named.

What this site is not

• It is not an offer of credit, a commitment to lend, or a term sheet.
• It is not an offer to enter into an advisory engagement. An engagement begins only under a separate written engagement letter signed by both sides.
• It is not a credit repair, debt settlement, or debt relief service. We do not negotiate down or settle existing debts on your behalf.
• It is not legal, tax, accounting, or investment advice. Take your own advice before acting.

The enquiry form

The form on this site is how a conversation starts. Submitting it does not create an engagement, an obligation on either side, or any entitlement to financing. Not every enquiry is one the desk can help with, and we may decline any enquiry for any lawful reason. Where a situation is not one we can help with, we say so plainly and, where we can, point you somewhere more useful.

You are responsible for the accuracy and completeness of what you submit. It is relied on to assess whether the desk can help, and later to prepare a file. Material that is inaccurate or incomplete can end an engagement.

Engagements and fees

An engagement with Certus Credit is advisory and defined in scope. It is governed by a written engagement letter, under a defined engagement fee and a success fee at closing. The engagement letter, not this site, sets out the scope, the fees, the conditions, and the termination terms. Where the two conflict, the engagement letter governs.

Fee arrangements vary with the situation and with the requirements of the jurisdictions involved. Nothing on this site is a quote.

What we place

Certus Credit places financings across refinancing, working capital, asset-based lines, factoring, equipment, merchant cash advance consolidation, and acquisitions. Merchant cash advance work is consolidation and payoff of existing positions. We do not arrange new merchant cash advance funding, and we do not place real estate financings.

Confidentiality

Information you give us is treated as confidential and used to assess the situation and, under an engagement, to advance your financing. Presenting your file to lenders is the service, and under an engagement you instruct us to do so. We do not contact your existing bank. How information is handled is described in the Privacy Policy.

Third-party services

Parts of this site rely on third parties, including the provider that hosts the enquiry form, the provider that hosts the site, the provider that serves its typefaces, the provider that handles call scheduling, and the advertising platform that measures which advertisements produce enquiries. Their own terms apply to their services. We are not responsible for third-party sites we link to or for their content.

Intellectual property

The content, design, marks, and materials on this site belong to Certus Credit or are used under licence. You may not copy, reproduce, or reuse them without written permission, other than viewing the site in the ordinary way.

Acceptable use

Do not submit false information, submit information about a business you are not authorised to act for, attempt to interfere with the site or its security, use automated means to scrape or overload it, or use it for any unlawful purpose.

Disclaimers

The site is provided as is and as available. To the fullest extent permitted by law we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted or error free, or that any information on it is complete or current.

Any timelines, ranges, or descriptions of how financings typically move are general market observations, not commitments, predictions, or promises about your file. Any examples shown reflect specific circumstances and are not a promise or guarantee of any outcome.

Limitation of liability

To the fullest extent permitted by law, Certus Credit and its officers, employees, and agents are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost financing, lost business, or lost data, arising out of your use of this site, whether in contract, tort, or otherwise, even if advised of the possibility. Liability arising from an engagement is governed by the engagement letter.

Indemnity

You agree to indemnify Certus Credit against claims, losses, and costs arising from your misuse of the site, from information you submit that is false or that you were not authorised to submit, or from your breach of these terms.

Governing law

These terms are governed by the laws of the state in which Certus Credit maintains its principal place of business, without regard to conflict of laws principles, and the courts of that state have exclusive jurisdiction over any dispute arising from them.

Changes

We may update these terms. The date at the top shows when they were last changed. Continued use of the site after a change means you accept the updated terms.
